These Terms of Service ("Terms") govern your access to and use of the website and software services offered by aiassure, Inc. ("aiassure," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

The Service

aiassure provides a cloud-based workspace for financial due diligence workflows, including document management, analytics, reporting, and AI-assisted features subject to human review. The Service is a software tool. It does not provide legal, tax, accounting, or investment advice.

Accounts and Access

You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. Organizations may invite team members and assign roles. The organization administrator is responsible for managing access.

You must be at least 18 years old and authorized to bind your organization if you register on its behalf.

Customer Data

You retain ownership of data you upload to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service as permitted by these Terms and your organization's settings.

You represent that you have the rights to upload Customer Data and that its use in the Service complies with applicable law and confidentiality obligations.

Acceptable Use

You agree not to:

Use the Service for unlawful purposes or to violate third-party rights
Attempt to bypass security, access other tenants' data, or probe systems without authorization
Upload malware or interfere with Service availability
Reverse engineer the Service except where prohibited by law
Misrepresent outputs of the Service as professional advice without qualified human review

We may suspend or terminate access for violations.

AI-Assisted Features

AI-generated suggestions, extractions, and narratives may contain errors. You are responsible for reviewing and approving all material conclusions, adjustments, and reports before reliance or distribution. The Service is designed to keep human sign-off in the workflow. Bypassing that control is at your own risk.

Fees

If paid plans are offered, fees and billing terms will be presented at purchase or in an order form. Unless otherwise stated, fees are non-refundable except where required by law.

Intellectual Property

We own the Service, software, branding, and documentation. These Terms do not grant you ownership of our intellectual property. Feedback you provide may be used to improve the Service without obligation to you.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT ANALYTICS OR AI OUTPUTS WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET REGULATORY REQUIREMENTS FOR YOUR SPECIFIC ENGAGEMENTS WITHOUT YOUR OWN PROFESSIONAL JUDGMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AIASSURE, INC. NOR ITS SUPPLIERS OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You will indemnify and hold harmless aiassure, Inc. and its officers, directors, employees, and agents from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to the platform, or discontinuation of the Service. Upon termination, your right to access the Service ends. Export and deletion of Customer Data will follow our Privacy Policy and applicable law.

Changes

We may modify these Terms by posting an updated version. Continued use after the effective date constitutes acceptance. Material changes may be communicated by email or in-product notice.

Governing Law
